Article I Name
- This organization shall be called the Northeastern University Student Chapter of the Association for Computing Machinery. In these bylaws it is referred to as the Chapter; the Association for Computing Machinery is referred to as the ACM.
Article II Purpose
- The Chapter is organized and will be operated exclusively for educational and scientific purposes to promote the following:
- An increased knowledge of and greater interest in the science, design, development, construction, languages, management and applications of modern computing.
- Greater interest in computing and its applications.
- A means of communication between students at Northeastern University having an interest in computing.
- The Chapter will serve students at Northeastern University.
- The Chapter is chartered by the ACM.
Article III Membership
- Eligibility: Membership in the Student Chapter shall be open to all Northeastern University students and alumni whether they are ACM members or nonmembers.
- Classes of Membership.
- Full Members: Full voting membership in the Student Chapter shall be granted to chapter members who are ACM members and enrolled as full-time undergraduates at Northeastern University.
- Affiliate Members: Persons who are eligible for membership in the Chapter but who are either not an ACM member or are not enrolled as a full-time undergraduates at Northeastern University.
- Graduate Members: Persons who are eligible for membership in the Chapter and whom are enrolled as graduate students at Northeastern University.
- Alumni Members: Persons who are eligible for membership in the Chapter who have graduated from Northeastern University and who were a full, affiliate or graduate member of the Chapter while they attended Northeastern University.
Article IV Officers
- Officers: The officers of this Chapter shall be: President, Vice President A, Vice President B, Secretary, Treasurer, and if over 5% of the chapter membership is made up of graduate members, a Graduate Student Affairs officer. These officers constitute the Council.
- Eligibility: All officers of the Chapter must be members of ACM and, with the exception of the Graduate Student Affairs Officer, enrolled as full-time undergraduate students at Northeastern University. All officers must demonstrate on-going satisfactory academic progress toward graduation in terms of both earned credits and a satisfactory cumulative Quality Point Average. Officers must pass at least 12-quarter hours at a 2.000 QPA per quarter.
At the time of the election, Vice President A must be in either division A or in a special division which is in school while division B is on co-op. Vice President B must be in either division B or in a special division, which is in school while division, A is on co-op. The two Vice Presidents schedules must coincide such that at least one of the two is in school during any given quarter. The Graduate Student Affairs Officer must be a graduate member.
- Elections:
- Annual elections shall be sufficiently publicized to all members and be held at a time that does not conflict with either standard working hours or classes at Northeastern University.
- The officers shall be elected by a plurality of the votes cast at the annual election meeting. They shall take office at the last meeting in the spring quarter and serve for one year.
- The President, in consultation with the Executive Council, shall present for approval, no less than thirty days prior to the elections, the meetings date, time, and location at which the election for each position will take place. The annual election meeting shall take place no earlier than the first full week of the spring quarter and no later than the third full week of the spring quarter.
- A candidate for President must be an active general Member for at least 4 full quarters. A candidate the positions of Vice President, Secretary, Treasurer, and/or Graduate Student Affairs Officer, candidates must be an active member of the Chapter for at least 2 full quarters.
- A candidate for an officer must be a student in the University in good standing.
- Each of the undergraduate positions will be voted on separately. The voting process will begin with the Office of the President, the Vice President A, the Vice President B, the Treasurer, and then the Secretary. A nominee, who is not voted into office may then be nominated or nominate him/her self for any of the remaining offices which they are eligible to hold. The graduate members will vote the Graduate Student Affairs Officer on last.
- Only full voting members will be allowed to vote on the candidates, with the exception of the Graduate Student Affairs Officer, which will be voted on by only graduate members. They also reserve the right to vote with "No Confidence" on all candidates for any of the positions.
- The nominee with the most votes for each position will succeed as its title. In the event that a nominee shall be the sole candidate for a position, a simple majority of the general body is necessary for election.
- Term Limitations: No member may serve as President or as a Vice President for more than two consecutive years.
- Vacancies: Upon the resignation of the President, the Vice-President whose designated division is currently in school shall become President. Should the resignation occur before the first of the year, an immediate election for the vacated office or the office of the promoted Vice President will be held at the next scheduled meeting. He/she will serve for the remainder of the term. Should the resignation occur after the first day of the year, the vacated office or the office of the promoted Vice President will be filled by appointment of the Executive Council.
- Officer Responsibilities. All officers will be responsible for knowing and understanding the information in the Student Organization Handbook.
- Impeachment.
- Failure to meet responsibilities set forth in the bylaws shall constitute sufficient grounds for removal from the office.
- Any member of the Chapter bringing charges against a member of the Executive Council for the purpose of removal from office shall present these charges at a meeting of the Chapter. Once these charges are presented, the meeting will go into Executive session and all those non-members will be removed. The President shall chair all Executive sessions, except when the member in question is the President and then the Vice President whose designated division is currently in school shall chair barring that the Vice President did not raise the initial charges. In that case, the hierarchy will follow in terms of chairmanship of the session. The member in question and the member raising the question shall have an opportunity to defend themselves in front of the General Body. The General Body will have the opportunity to ask questions and make comments non-derogative towards either parties or risk removal from the session.
- Member of the Executive Council shall be removed by a 2/3 majority vote of the membership present.
Article V Duties of Officers
- President. The President is the principal officer and is responsible for leading the Chapter and managing its activities in accordance with the policies and procedures of the ACM and these bylaws. The President shall be the chairperson, preside, and set the agenda at all meetings of the chapter and of its Executive Council. The President shall represent the Chapter to all outside agencies.
- Vice President A and Vice President B. The Vice President whose designated division is currently in school, shall preside at meetings in the absence of the President and act as President in the absence of the President, in such case that the President is temporarily unable to serve or upon request of the President. Both Vice Presidents shall assist the President in the management of the Chapter, and perform other duties that may be assigned by the President.
- The Secretary. The Secretary shall keep the minutes of all Chapter and Executive Council meetings and distribute said minutes. Other duties of the Secretary include:
- Maintaining the membership records and roster of the Chapter. The Secretary shall provide the Northeastern University Student Activities Office with current officer information every six months or whenever required.
- Preparation of the Chapter’s activity report and officer contact information, and submission of these to ACM headquarters.
- Submission of any proposed amendment to these bylaws to the Chairs of the Membership Activities Board. Proposed amendments must be approved before they can be submitted to the Chapter’s membership for a vote.
- Handling all correspondence of the Chapter.
- Perform other duties as assigned by the President.

- The Treasurer. The Treasurer shall collect dues, pay all bills, and maintain the Chapter’s financial records. Duties of the Treasurer also shall include:
- Preparation of the Chapter’s Annual Financial Report for presentation to the Chapter at the Annual Election meeting.
- Completion and submission of the Annual Financial Report to ACM Headquarters.
- Preparation of all budgets, spending reports, and other budgetary transactions as necessary during the fiscal year.
- Maintenance of regular communication with the Northeastern University Student Center Business Office staff and the Vice President for Financial Affairs of the Northeastern University Student Government Association.
- Performance of other duties as assigned by the President.
- The Graduate Student Affairs Officer. The Graduate Student Affairs Officer’s position will only exist if more than 5% of the Chapter’s membership are graduate members. The Graduate Student Affairs Officer shall report to the President and to the Executive Council to ensure tas assigned by the President.
Article VI Chapter Sponsor
- Each Student Chapter has one Sponsor.
- The Student Chapter Sponsor shall be a voting member of ACM and either a member of the faculty or full-time staff of Northeastern University.
- The Student Chapter Sponsor shall be selected by the Executive Council immediately following the installment of the new Executive Council at the annual inaugural meeting.
- The Student Chapter Sponsor shall be generally responsible for the activities of the Chapter. Specifically, the Sponsor:
- helps provide
- Continuity from year to year as student leadership and personnel change;
- Promotes good student-faculty relationships;
- Helps maintain university standards in all activities of the Chapter;
- Exercisell accounts in the event of dissolution of the Chapter
- Represents the Chapter interests to the faculty and administration.
The Student Chapter Sponsor will be ex-officio, non-voting on all committees of the Chapter.
Article VII Executive Council
- The Executive Council shall consist of the Chapter officers, the Student Chapter Sponsor, and chairs of the Chapter’s standing committees.
- The Term of the members of the Executive Council shall be coincident with the terms of the officers. They shall take office on the last Thursday of the quarter and serve for one year.
Article VIII Standing Committees
- The standing committees of the chapter shall be Programming Contest, Education, and Web.
- The Programming Contest Committee shall be in charge of planning and making arrangements for regular and ongoing programming contests sponsored by the Chapter.
- The Education Committee shall be in charge of planning and making arrangements for regular and ongoing education series and contests sponsored by the Chapter. Such events include lectures, poster and paper contests, and guest speakers.
- The Web Committee shall be in charge of updating and improving the Chapters World Wide utive Council, shall be appointed by the Chapter President at least four months prior to the Election Meeting.
- An Audit Committee shall be appointed by the Chapter President at the close of the fiscal year to assure the accuracy of the accounting of the Chapters funds for the year. This Committee should also verify the accuracy of the Financial Report prepared by the Treasurer for submission to ACM headquarters.
Article X Meetings
- Meetings shall be held as planned by the Executive Council. The Chapter shall hold meetings only in places that are open and accessible to all members and at times that do not conflict with either standard working hours or classes.
- Written and electronic notices of all meetings shall be distributed to all members, posted around campus, and placed in the student newspaper at least one week prior to any meeting.
- The Annual Election meeting should be held no earl At this meeting, the Secretary and Treasurer shall each present the required reports. At the end of the meeting, the officers elected at the Annual Election meeting shall take office.
Article XI Disbursements and Dues
- Disbursements from the Treasury for Chapter expenditures shall be made by the Treasurer with authorization of the Executive Council and shall be included in the minutes of its meetings.
- Dues shall be fixed ar Bylaws shall be approved by the Chairs of the Membership Activities Board and the ACM Constitution and Bylaws Committee before being presented to the Chapter membership for a vote.
- Proposed changes to these Chapter Bylaws and their location within the document must be presented in writing at least one meeting prior to the meeting at which the voting shall take place.
- No official business of the Chapter shall be conducted unless a quorum is present. A quorum of the Chapter shall be defined as 20% percent of the voting membership of the Chapter currently attending school, 10% of the total voting membership of the Chapter or at least 15 voting members, whichever is greater.
- A simple majority of the voting members present shall be required to carry a motion.
- Officers will be elected by a plurality of votes cast.
Article XIII Interpretation
- Any conflict in interpretation of the constitution or bylaws will be decided by the Executive Council with the advice and consent of the General Body.
Article XIV Dissolution of the Chapter
- Dissolution of this Chapter by consent of the members shall consist of unanimous agreement of all its officers together with a majority vote at a meeting which has been publicized in advance to all members of the Chapter for the purpose of taking this vote.
- Should this Chapter be dissolved, its assets and liabilities shall be transferred to ACM and shall be supervised by the Membership Activities Board.
